It would fit, bolt in and everything just fine, but the problem would be it would be overgeared if you still have the stock 3.0 engine. In the lower gears it wouldn't be much of a problem, but it wouldn't have much punch in 3ed gear, nor 4th and 5th would really be lacking. On the other hand, mileage would go up and it would be really quiet on the highway but I don't think it would "feel" right driving it. Now if you have a 3.5 conversion in there, it really has tons of torque so disregard everything I just said, but if not, proceed with caution.
